By Laws

I. This association is charged with the duty of holding title to the premises of the Corinth Cemetery, located in Houston County, Texas, a family or Community Cemetery of less than ten (10) acres, and of maintaining the said premises as a private cemetery for the use of members of the Association only.

2. No lots in said Cemetery shall ever be sold.  All lots are reserved for members of the Association who are direct descendants or other family members of those who are already interred in the cemetery.  Any person who is a direct descendant of any person interred in the cemetery at the time of the signing of these  By-Laws (5/18/1986) shall be considered a member of the Association and entitled to interment.  For the purpose of these By-Laws, a direct descendant is a  person whose lineal ancestor (parent, grandparent, etc.) is interred in the cemetery.

 3. The Directors of this association shall be seven (7) in number, chosen from among the members of the Association, who have agreed to serve as such without compensation.

4. The Directors shall hold an annual meeting at such time and place as shall be chosen by said Directors, and such other meetings as may be called by a majority of the Directors.  A majority of those in attendance at any meeting shall constitute a quorum for the transaction of all business.

5. The Directors shall have the sole and exclusive decision as to whom shall be interred in the Cemetery, with the express provision that any person who shall be a member of the Association at the time of his or her death shall be entitled to be interred in the Cemetery.  On rare occasions, the directors, at their discretion, may confer Association Membership to persons who are not direct descendants of those interred in the cemetery.

6. The Directors shall elect from among the members a President, Secretary and Treasurer who shall also serve without compensation.

7. The Directors shall manage the affairs of the association and shall make all decisions necessary to be made which are not inconsistent with these By-Laws.

8. The Directors are authorized to accept donations to the Association and to deposit the same in a permanent fund in an interest-bearing fund or in Certificates of Deposit in some bank or savings institution which is insured by either the FDIC or FSLIC.  Donations may be added to such fund at any time and in any amount.

9. The Corpus of such fund shall never be used by the Association for any purpose, but the interest or income from such fund shall be disbursed to the maintenance fund to be used for the general maintenance of the cemetery.

10. Upon the death of a Director, or the inability or refusal of a Director to further serve as such, another Director shall be chosen and appointed by the remaining Directors, to serve in accordance with these By-Laws until the next election of Directors.

11. The Secretary shall maintain records of the membership of the Association.

12. These By-Laws may be amended by a majority vote of the membership at any Annual Meeting.  Any proposed amendment to the By-Laws must be presented in writing to the Directors at least sixty (60) days before the Annual Meeting of the Association so that notice of such proposed amendment may be mailed to the membership.

These By-Laws were enacted by majority of the members of the Association at the Annual Meeting of the Association at Corinth on the 18th day of May 1986. They were revised at the Annual Meeting on May 21, 2006 and on May 21, 2023.
